Intellectual Property & Confidentiality Policy

This policy explains ownership of client materials and consulting materials, permitted use of deliverables, confidentiality expectations, reviews, public references, and retention.

Client-specific work may include proprietary consulting methods, frameworks, analytical structures, and know-how. Ownership and confidentiality should be understood in the context of both this policy and any project-specific written terms.

1. Purpose and Scope

This Intellectual Property & Confidentiality Policy explains general ownership, permitted use, confidentiality, handling of client materials, reusable consulting methods, client-specific deliverables, public references, and information-protection expectations.

A more specific confidentiality agreement, nondisclosure agreement, proposal, statement of work, or other written engagement term may supplement or replace parts of this general policy for a particular client.

2. Client-Owned Materials

Documents, trademarks, business plans, internal processes, data, research, customer information, branding materials, and other materials owned by the client before the engagement remain the client's property.

Providing client materials for consulting review does not transfer ownership to the company.

3. Authority to Provide Materials

The client is responsible for ensuring it has the right to share materials used in the engagement. The client should not provide third-party confidential information, copyrighted material, personal data, or other restricted content unless it is authorized to do so.

Where third-party material is necessary, the client should identify any known restriction that affects how it may be used.

4. Pre-Existing Consulting Materials

The company may use general consulting methods, frameworks, templates, checklists, analytical structures, process models, presentation structures, research approaches, project methods, know-how, and other reusable materials developed independently of a particular client.

Those pre-existing materials remain the property of the company or their applicable original owner unless expressly transferred in writing.

5. Client-Specific Deliverables

Subject to full payment and the applicable engagement terms, the client may generally use client-specific deliverables for its internal business purposes.

A client-specific deliverable may incorporate general methods, templates, analytical structures, or know-how that remain reusable by the company. Internal use of the deliverable does not automatically transfer ownership of those underlying reusable elements.

6. Permitted Internal Use

Internal use may include using recommendations for management decisions, distributing a plan to employees or contractors who need it, adapting internal workflows, using a project plan, or applying research to business planning.

Internal use does not automatically include the right to resell, sublicense, publish, commercialize, or distribute proprietary consulting templates as standalone products.

7. Restrictions on Commercial Redistribution

Unless expressly authorized, a client should not sell, license, publicly distribute, or commercialize proprietary consulting frameworks, templates, or methods as if they were an independent product.

A client may, however, implement recommendations and incorporate resulting business changes into its own operations.

8. Confidential Information

Confidential information may include non-public business plans, strategy, pricing, internal processes, project information, organizational information, customer or supplier information, financial assumptions, research, growth plans, and other material that is non-public by its nature or context.

Confidentiality depends on the circumstances. Information does not need to carry a specific label if a reasonable business person would understand from the context that it is non-public.

9. Protection of Confidential Information

Each party should use reasonable care to protect non-public information received in connection with the engagement. Access should be limited to people who reasonably need the information for the project or business administration.

Confidential information should not be used for unrelated purposes.

10. Exclusions From Confidentiality

  • Information that becomes public without a breach of confidentiality.
  • Information already lawfully known to the receiving party without a confidentiality duty.
  • Information independently developed without use of the confidential information.
  • Information lawfully received from another source without a confidentiality restriction.
  • Information approved for disclosure by the party that owns or controls it.
  • Information required to be disclosed by law or valid legal process.

11. Required Disclosure

If confidential information must be disclosed under law, regulation, court order, subpoena, or other valid legal process, the receiving party may disclose the information to the extent required.

Where legally permitted and reasonably practical, the affected party may be notified so it can consider available protective measures.

12. Vendors and Service Providers

The company may use service providers for cloud storage, communications, security, document handling, website operation, or other ordinary business functions. Such providers may process information as reasonably necessary to perform their service.

Where appropriate, the company may use provider terms, access controls, or other safeguards intended to support confidentiality and security.

13. Public References and Case Studies

The company should not identify a client by name, publish confidential client materials, disclose non-public project details, or present a client engagement as a public case study without appropriate permission.

Generalized descriptions of consulting experience should not reveal confidential information or imply a client endorsement that has not been provided.

14. Reviews and Testimonials

A client who submits feedback may choose a display preference through the website review form. The company should not publish feedback contrary to the selected display preference.

If a review is approved for display, limited editing for clarity, length, spelling, or formatting may occur without materially changing the meaning.

15. Return, Deletion, and Retention

At the end of an engagement, confidential information may be returned, deleted, archived, or retained depending on project requirements, legal obligations, professional recordkeeping, backup systems, billing records, and dispute-resolution needs.

Immediate deletion from every backup system may not be technically practical.

16. Independent Knowledge and Skills

Nothing in a consulting engagement prevents the company from using general skills, experience, know-how, methods, or ideas that do not reveal a client's confidential information.

Similarly, a client remains free to use its own general business knowledge and independently developed materials.
